JOB PURPOSE
Provides, with the guidance of the Legal Counsel of the ADNOC L&S Legal Directorate, legal advice and services to ADNOC L&S and to the extent relevant, its subsidiaries/affiliates, on existing operations and new projects/transactions, both domestic/international, with a particular focus on the MS&T Directorate. Ensures conformity with the laws and regulations, drafts/reviews/amends legal opinions/agreements/documents under the supervision of the Legal Counsel and provides advice on safeguarding ADNOC L&S's interests.

KEY ACCOUNTABILITIES
- Provides, with the guidance of the Legal Counsel of the ADNOC L&S Legal Directorate, legal counsel and advice to the ADNOC L&S Legal Directorate on operational, commercial, corporate and transactional matters as and when required/assigned, including joint ventures, investments, mergers, acquisitions, incorporations, dissolutions and liquidations.
- Supports the Legal Counsel in drafting, reviewing, interpreting and amending legal opinions, agreements, letters, memos, submissions and any other relevant documents related to the business, projects or transactions of the ADNOC L&S Legal Directorate.
- Assists in review of claims in connection with the ADNOC L&S Legal Directorate's business activities including through interpretation and advice on performance of signed contracts and prevailing legislation.
- Assists the Legal Counsel in oversight of the legal functions of the ADNOC L&S Legal Directorate group companies, particularly in development and implementation of common legal practices and joint strategies.
- Assists in providing functional guidance, as required, to assigned personnel within the Legal Division on complex issues. Supports and encouragement to lesser experience legal personnel. Includes identifying training and development needs and organizing, in coordination with Training & Development Division in Human Capital Directorate, courses, seminars and orientation programs for legal and lay staff.
- Attends internal ADNOC L&S committees, as and when required, to assist the activities of the ADNOC L&S Legal Directorate and to advice on legal risks, including conformity with laws and regulations.
- Supports the development of junior Emirati lawyers and coordinates with other Departments and Functions on development and implementation of training and development initiatives.
- Manages external legal counsel services related to the corporate and commercial legal affairs of the ADNOC L&S Legal Directorate, including review of external legal counsel work product, preparation of request for proposals and instructing external legal counsel.
- Coordinates with Group Corporate Governance Department on corporate governance matters related to ADNOC L&S Legal Directorate group companies.
- Coordinates with Group Ethics & Compliance Department on compliance matters related to the ADNOC L&S Legal Directorate and ADNOC L&S Legal Directorate group companies.

Requirements:
MINIMUM REQUIREMENTS
- Bachelor Degree in Law
- Fluent reading and written Arabic.
- Minimum 0- 2 years' Professional Qualification experience in petroleum and/or industrial projects law or contracts drafting, interpretation and negotiation or international business laws is recommended.

PROFESSIONAL CERTIFICATIONS
- Must be a qualified lawyer in a civil and/or common law jurisdiction.
